Please read this Terms of Service (the "Terms") carefully because it sets forth the binding legal agreement between you and ID IT PTE LTD (“IDIT.SG” or “We” or “Our”). These Terms govern your use of www.idit.sg and all of the related websites, mobile apps, products and services offered by IDIT.SG (collectively, the "Site").

By accessing or logging into the Site, you automatically agree to be bound by these Terms and to our Privacy Policy. If you do not agree to these Terms and to our Privacy Policy, please do not use the website, mobile apps, or any of the information or services.

1. Your Account, Password and Security

In order to access and/or use certain services or features on the Site, you may be required to create an account and specify a password. To create an account, you must:

  1. be at least 18 years old;

  2. provide accurate and complete information and keep your account information updated; and

  3. you will not copy or distribute any part of the Site in any medium without IDIT.SG’s prior written authorisation.

You shall not:

  1. impersonate anyone else when you create your account;

  2. use, as a username, a name subject to any rights of a person other than you without appropriate authorisation;

  3. use, as a username, a name that is otherwise offensive, vulgar or obscene; or

  4. use another person’s user account or registration information without permission

In some cases, an account may be assigned to you by an administrator, such as your employer or educational institution. If you are using or logging into an account assigned to you by an administrator, additional terms may apply to your use of the Site. Moreover, your administrator may be able to access or disable your account without our involvement.

You are solely responsible for the activity that occurs on your account and for keeping your account password secure. Please keep your password confidential at all times and try not to use it on other websites or disclose it to any third-party. We will not be liable for any loss that you may incur as a result of a third-party using your password or account, either with or without your knowledge.

We reserve the right to disable any user account at any time, if in our opinion you have failed to comply with any of the provisions of these Terms.

2. User’s Conduct

You will not use the Site for any purpose that is unlawful or prohibited by our Terms. Unless otherwise specified, our Site is for your personal and non-commercial use only. In addition, but without limitation:

  1. You may not copy, modify, transmit, distribute, reproduce, publish, perform or sell any information, materials, products or services obtained from the Site, or use them in any commercial manner;

  2. You will not use and exploit our communication facilities, such as community forums, in connection with surveys, contests, pyramid schemes, junk emails, spam or any duplicative or unsolicited messages (commercial or otherwise);

  3. You will not attempt to obtain any materials or information through any means not intentionally made available through the Site;

  4. You will not attempt to gain unauthorised access to or otherwise interfere or disrupt other computer systems or networks connected to the Site, interfere with another’s utilisation and enjoyment of the Site, or use or upload, in any way, any software or material that contains, or which you have reason to suspect that contains, viruses, damaging components, malicious code or harmful components which may impair or corrupt the Site's data or damage or interfere with the operation of another customer’s computer or mobile device or the Site; and

  5. You will not post, promote or transmit through the Site any information, graphics, photographs, data and/or any other material that contains any computer virus or other invasive or damaging code, program or macro; infringes any third-party intellectual property or any other proprietary rights; is defamatory, libellous or threatening; is obscene, pornographic, indecent, counterfeited, fraudulent, stolen, harmful or otherwise illegal under any applicable law; and/or is or may be construed as offensive and/or otherwise objectionable, in our sole opinion.

We reserve the right to terminate your account, prohibit you from using the Site, decline to provide services at any time, without any notice, for any reason whatsoever.

3. Content You Post

We may provide opportunities for you to voluntarily post text, reviews, photographs, videos, or other content (collectively, “Content”) on the Site. The Content may be viewed by the general public and will not be treated as private, proprietary or confidential. You can only post Content if you own all the rights to that Content, or if another rights holder has given you permission.

You do not transfer ownership of your Content simply by posting it. However, by posting Content, you grant and assign us and our affiliates, licensees, sublicensees, without compensation to you or others, an irrevocable, perpetual (non-exclusive) right and permission to reproduce, encode, store, copy, transmit, publish, post, broadcast, distribute, display, publicly perform, adapt, edit, modify, create derivative works of, exhibit and otherwise use your Content. If you identify yourself by name or provide a picture or audio or video recording of yourself, you further authorise us and our affiliates, licensees and sublicensees, without compensation to you or others, to reproduce, print, publish and disseminate in any format or media (whether now known or hereafter created) your name, voice and likeness throughout the world and such permission will be perpetual and cannot be revoked for any reason. You further agree that we may use Your Content in any manner that we deem appropriate or necessary. Without those rights, we couldn’t offer our Services. Please note that this permission continues even if you stop using our Site.

You agree to indemnify, release and hold us harmless from any all liability, claims, actions, loss, harm, damage, injury, cost or expense arising out of any Content you post.

Keep in mind that if you send us any information, ideas, suggestions, or other communications to us, those communications will not be confidential. Moreover, unless we tell you otherwise, we reserve the right to reproduce, use, disclose and distribute such communications without any obligation to you.

We further reserve the right to remove your Content, in whole or in part, submitted by you for any reason without notice. We do not guarantee that we will publish all of your Content.

4. Content Posted by Others

We are not responsible for and do not endorse, Content posted by any other person. Accordingly, we may not be held liable, directly or indirectly, for any loss or damage caused to you in connection with any Content posted by another member.

5. Intellectual Property

All intellectual property in or related to the Site (specifically including, but not limited to, the content on the Site, our brand names, trademarks, logos, registered or unregistered service marks, but excluding your Content), are the property of IDIT.SG, its affiliates and/or licensors. As such, you may not copy, reproduce, distribute, sell, license, adapt, modify, disassemble, republish, display, transmit, broadcast or hyperlink in any manner or store in an information retrieval system, or otherwise exploit any content or material from the Site in any form or by any means.

The name of IDIT® and IDIT.SG may not be used in any way, including advertising or publicity pertaining to any content, information and/or material on the Site without the express written permission from IDIT.SG. However, you may download and print the contents, materials and/or information found on the Site for your personal, non-commercial use.

If you believe any content on the Site infringes your copyrights, as the copyright owner (or the authorised representative of the owner), you may request to remove (or disable access to that content) by writing to data@idit.sg with the following details:

  1. Your name, mailing address, telephone number and email address;

  2. Details about the copyrighted work;

  3. Specify where on the Site the infringing materials are located;

  4. State that you have a good faith belief that the materials are infringing;

  5. A statement by you that the information contained in your claim is accurate and that you attest under the penalty of perjury that you are the copyright owner or that you are authorised to act on the copyright owner's behalf (i.e. “I swear, under penalty of perjury, that the information in the notification is accurate and that I am the copyright owner or am authorised to act on behalf of the owner of an exclusive right that is allegedly infringed.”);

  6. Sign off from the owner of the copyright or a person authorised to act on the owner's behalf

We will attempt to remove or disable the allegedly infringing material. Please note that you may be liable for damages, including court costs and attorneys’ fees, if you materially misrepresent that content on a website is copyright infringing.

6. Links to Third-party sites

The Site may contain ads or links to third-party websites for your convenience. These linked websites are not affiliated with or owned, operated, or controlled by IDIT.SG, including third-party payment system providers. We are not responsible for the contents of such linked websites, the consequences of accessing any link in any such websites or any forms of transmission received from any third-party websites.

The inclusion of such ads or links does not imply endorsement by IDIT.SG of any such third-party websites or any association with its owners or operators. By using the Site, you agree that any access to and/or use of such linked websites is at your own risk and you expressly relieve IDIT.SG from any and all liability arising from your access and use of any third-party website.

We encourage you to review the terms and conditions and privacy policies of any third-party websites before using them and disclosing your personal data to them.

7. Modifications and Termination

We reserve the right to modify our Site at any time, with or without notice to you. For example, we may add or remove functionality or features and we may suspend or stop a particular feature altogether. We also reserve the right to charge a fee for any of our features at any time. If you don’t like any changes, you can stop using our Site at any time.

We also reserve the right to suspend or terminate your account and refuse you any current or future use of the Site in our sole discretion, without any notice, for any reason whatsoever, including where we have reasons to believe that you have breached or acted inconsistently with the Terms.

8. Warranties, Disclaimers and Liability

The Site, its services and all information provided herein are provided on an “as is” and “as available” basis without warranties of any kind, either expressed or implied, other than those imposed by law, including but not limited to warranties of title or implied warranties of non-infringement, merchantability, satisfactory quality, fitness for a particular purpose, or any warranties arising out of the course of dealing or trade usage.

Without limiting the generality of the foregoing, we expressly disclaim any warranty, condition, guarantee or representation (i) as to the reliability, accuracy, completeness and validity of any content or material on the Site; (ii) that the functions contained on the Site will be secure, uninterrupted, virus-free or error-free; (iii) that any defects will be corrected. Any and all such warranties, conditions, terms and representations are specifically excluded. We assume no responsibility for errors or omissions in the materials on the Site, including factual or other inaccuracies or typographical errors. You expressly agree that your use and/or access to the Site is at your own risk.

Except where prohibited, we shall not be liable for any indirect, special, incidental, consequential, or exemplary damages arising from your use of the sites or any third-party’s use of the sites. These exclusions include, without limitation, damages for lost profits, lost data, computer failure, or the violation of your rights by any third-party, even if we have been advised of the possibility thereof and regardless of the legal or equitable theory upon which the claim is based.

You agree that under the maximum extent permitted by law, we shall not be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any loss of profit, or any indirect or consequential loss arising under or in connection with any Order; Our total liability to you for all other losses arising under or in connection with any contract between us, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall be limited to the total sums paid by you for products under such Order.

9. Indemnification

You agree to indemnify, defend and hold IDIT.SG and our business partners, affiliates, subsidiaries, advertising agencies, agents and their employees, officers, directors and other representatives, harmless from any claims, losses, damages, costs (including reasonable attorneys' fees) and other expenses that arise directly or indirectly out of or from:

  • Breaches of your obligations of any part of this Terms;

  • Your access to, use of and/or participation in this Site;

  • Your violation of any rights of another person or entity;

  • Your negligent or willful misconduct; and/or

  • Your breach of any statutory requirement, duty or law.

Updates

We may update these Terms from time to time to ensure it is consistent with our business requirements and/or changes in legal or regulatory requirements. We encourage you to periodically review these Terms to stay informed about the changes. By continuing to use or log into the Site after these Terms have changed, you indicate your agreement to the revised Terms. If you do not agree to the changes, you should stop using or logging in to the Site.
